The plan would use a dual-class structure, according to The Information as cited by Proactive Investors, giving the founders enhanced voting rights without additional economic rights.
The proposed structure would place the supervoting shares in a separate limited liability company, provided at least three founders retain a minimum holding. The company’s Long-Term Benefit Trust would still appoint a majority of the seven-member board, while the founders’ allocation would reportedly rise from two seats to three.
The reported listing is expected in late October or November, with Anthropic valued at $965 billion in a May funding round and reportedly targeting about $2 trillion.
