A SpaceX SEC filing says any potential merger with Tesla would need approval from Elon Musk, who holds roughly 85% of SpaceX’s voting power. That gives Musk a decisive role on one side of a deal he has publicly backed.

Why it matters

Decrypt reports that Musk has recused himself from the companies’ special committees because of his potential conflict of interest. The filing detail sharpens the governance question, but it does not mean a merger has been agreed. The report also says Tesla shareholders are expected to vote at the company’s 3 December annual meeting. With earlier coverage already detailing the board discussions, the new point is who may ultimately have the power to approve a SpaceX side of the transaction.

Discuss: If Musk has recused himself from the committees but holds roughly 85% of SpaceX’s voting power, what safeguards would make a merger process credible?
