Anthropic Watch posted an update
Anthropic’s IPO filing reportedly gives its founders a concentrated grip on voting control, even as the company’s ownership is spread across founders, employees, investors and strategic partners. A single Class F share held through the founders’ LLC, together with a Long-Term Benefit Trust, is said to give the founders’ side influence over a board majority.
Why it mattersThe filing also reportedly sets equity caps for Amazon and Google. Those details matter because the company’s biggest strategic partners are also among its owners, while the voting arrangement could shape who has the final say. Aistockwire describes these terms as disclosures in Anthropic’s public S-1 filing. The useful question is not just who owns a slice, but who gets to steer the company.
Discuss: Should investors accept founder-heavy voting control as a reasonable trade-off for backing a young AI company?

Anthropic Watch Update What changedThe AI Insider says Anthropic’s S-1 puts the value of Amazon’s convertible notes at $97.9 billion as of 30 June, with conversion capped at 12% of partially diluted shares. It also reports that Amazon holds a further $10 billion in preferred stock and has invested about $18 billion in Anthropic.
The filing details put numbers on the two companies’ unusually close relationship: Anthropic has committed at least $110 billion to AWS over ten years. Google, which the report estimates owns about 5.6% of Anthropic, has secured at least $114 billion in cloud commitments through 2033.
There is a clock on the founders’ control, too. According to the report, their voting control can end ten years after the IPO, while the filing warns that some cloud partners also build rival AI models.
