    SoftBank has launched $10bn of dollar-denominated notes and €1bn of euro-denominated notes to fund a further payment into OpenAI, according to a term sheet cited by Reuters. The move turns the previously proposed borrowing into an active financing transaction, with the third tranche of SoftBank’s follow-on OpenAI investment expected to close on 1 October.

    The dollar notes are split across three-and-a-half-year, five-and-a-half-year and seven-and-a-half-year maturities. The euro notes run for four and six years. The bonds are expected to price on 24 September and settle on 29 September, with Citigroup and JPMorgan as lead bookrunners.

    The term sheet says the proceeds will replace a $10bn bridge loan SoftBank had secured for the OpenAI investment, while also covering general corporate purposes. Reuters reports that SoftBank could not immediately be reached for comment. The useful change is therefore not another enormous number, but a clearer financing path: short-term borrowing is being replaced with debt spread across several years, leaving the eventual cost and repayment burden as the figures to watch.

That is substantially above the more than $11bn the company is seeking to raise through $10bn of dollar debt and €1bn of euro debt.

    The demand points to strong investor appetite for the transaction, particularly as investors chase the record yields the bonds are expected to offer. It does not mean SoftBank has raised the money, and the final size, pricing and terms remain unsettled.
