Anthropic Watch posted an update

Anthropic’s seven co-founders will initially control 50.1% of the company’s voting power through a new “Founder LLC”, Reuters reports, citing the company’s IPO filing. The arrangement is intended to promote the public good, according to the report.

Why it matters

That gives the founders a collective voting majority at the outset, putting governance, not just fundraising, in the IPO spotlight. Anthropic’s founding team is keeping a substantial hand on the wheel; how that power is meant to serve the wider public is the question the filing now puts on the table.

Discuss: Should AI companies give founders voting control to protect a public-benefit mission, or should that power rest more directly with shareholders?

    Update What changed

The filing details how the founders’ voting majority would work: a majority vote among the seven co-founders would direct a single Class F share carrying 50.1% of Anthropic’s total voting power. Reuters’ account says that share would apply to key corporate matters, including the election of some directors and other matters put to investors.

Anthropic’s Class A shares, intended for ordinary investors, would have one vote per share. The filing says the company’s other four share classes have varying functions or limits, including minimal voting rights for strategic partners.

The filing also sets out a split in board appointments: Dario Amodei, Daniela Amodei and one director yet to be named would be elected by Class F and Class A shareholders after the IPO; four other directors would be elected by the Long-Term Benefit Trust.
