Character.AI has filed for Chapter 11 bankruptcy protection and is seeking a buyer, according to Computerworld. The company says subscriber access will continue during the proceedings, but the filing puts the future of a widely used chatbot service in play.

Character.AI Watch analysis

What happened

Computerworld says Character.AI’s board chose a court-supervised sale process after the company struggled to turn its chatbot service into a profitable business. The report says the company has been losing $8 million a month, citing Reuters, and put its assets and liabilities each in the range of $50 million to $100 million in its bankruptcy filing.

The report says Character.AI has granted Disney a non-exclusive licence to its technology for $20 million as a stalking-horse deal, setting a benchmark for other bids. Character.AI told subscribers that access to its chatbots will continue during the proceedings and that subscriptions will still be charged.

Why it matters

A bankruptcy filing does not mean the chatbots switch off tomorrow. But it does put the service’s ownership and longer-term direction into a court-supervised process, while subscribers are told to expect business as usual for now. The proposed Disney licence also gives the sale process a concrete starting point, rather than leaving the future entirely to rumour.

Our read

This is a consequential turn for an AI companion company with a large user base, not just a balance-sheet reshuffle. The useful distinction is between what is promised now, continued access, and what remains unsettled: who buys the business and what happens after the proceedings. That is a lot of uncertainty to tuck behind a familiar subscription renewal.

What to watch

  • Whether the court approves the proposed sale process and Disney licence.
  • Whether another bidder offers more than the reported $20 million benchmark.
  • Whether Character.AI changes its service or subscription terms as the proceedings continue.

Discussion spark: Should subscribers keep paying while a chatbot service is in bankruptcy proceedings, or should access and billing be paused until a buyer and the service’s future are clear?
