Meta is planning a $95bn stock offering to finance its AI expansion, including a $35bn underwritten equity offering backed by Nvidia, AMD and Broadcom, the Financial Times reports. The proposed raise would put a striking number on the question of how Meta intends to pay for its growing AI ambitions.

Meta AI Watch analysis

What happened

The FT report says Nvidia, AMD and Broadcom will act as cornerstone investors in the offering. Meta’s plan is reported, not a completed fundraise: the available account does not establish when it would close or how the proceeds would be allocated beyond financing AI expansion.

Why it matters

A $95bn stock raise would make AI investment a matter for shareholders as well as data centres and chip supply. New shares can bring in capital without taking on debt, but they can also dilute existing investors’ ownership. The backing of three major chipmakers adds another dimension: companies selling AI infrastructure could also be investing in the customer building it.

Our read

This is a consequential financing plan, not proof that Meta will spend the full amount or that its AI investment will pay off. Still, the proposed scale is hard to file under routine corporate finance. The useful question is what investors are being asked to fund, and what return Meta expects them to get.

What to watch

  • Whether Meta confirms the offering and publishes its terms.
  • How much is raised, and how the proceeds are used.
  • Whether the reported cornerstone investors’ commitments are conditional.
  • How investors respond to the prospect of further dilution.

Discussion spark: Should AI companies fund huge expansion plans by issuing more shares, or should investors demand clearer evidence of returns before accepting dilution?

Update

What changed

Meta has begun its reported $95bn fundraising plan with $35bn in underwritten public equity offerings, according to The Irish Times’ report, which carries Financial Times reporting. A further $60bn is planned through an at-the-market share programme, adding concrete detail to the proposed financing mix.

The report says Meta posted a 26 per cent rise in third-quarter sales and projected capital spending of up to $145bn this year. The company has warned investors it will need to raise “hundreds of billions of dollars” over several years to fund its AI investment.

Meta says its AI investments are already bringing returns through higher engagement, improved advertising performance and increased monetisation. Those are the company’s claims; the funding plan’s scale is now clearer, but its eventual proceeds and returns remain to be seen.
